Service Agreement

This Master Service Agreement ("Agreement") is entered into by and between trivialpursuits.dev, operating as Autobiographer ("Provider"), and the entity or individual accepting these terms ("Customer"), collectively referred to as the "Parties."
This Agreement governs the provision of the Autobiographer service ("Service") to Customer. By executing an Order Form referencing this Agreement or by using the Service, Customer agrees to be bound by these terms.
1. Definitions
"Authorized Users" means individuals authorized by Customer to access the Service under Customer's account.
"Customer Data" means all data, including personal information, resumes, job descriptions, and other content, submitted by Customer or Authorized Users to the Service.
"Documentation" means Provider's user guides, help documentation, and other materials describing the Service's functionality.
"Generated Content" means output produced by the Service, including taglines, summaries, cover letters, interview preparation materials, and fit assessments.
"Order Form" means any ordering document, online registration, or purchase flow referencing this Agreement.
"Credits" means the usage units consumed when using AI-powered features of the Service.
"Service" means the Autobiographer platform and related services provided by Provider.
"Subscription Term" means the period during which Customer has access to the Service as specified in an Order Form.
2. Service Description
2.1 Service Overview
The Service is an AI-powered career tool that analyzes job descriptions, parses resumes, and generates personalized career content. Key features include job description analysis, resume parsing and storage, narrative generation (taglines, summaries, experience blocks), cover letter generation, interview preparation, and company fit assessment.
2.2 Service Levels
Provider shall use commercially reasonable efforts to maintain high Service availability, excluding scheduled maintenance and circumstances beyond Provider's reasonable control.
3. Access and Use Rights
3.1 License Grant
Subject to this Agreement and payment of applicable fees, Provider grants Customer a non-exclusive, non-transferable right to access and use the Service during the Subscription Term for Customer's internal business purposes.
3.2 Authorized Users
Customer may permit Authorized Users to access the Service. Customer is responsible for Authorized Users' compliance with this Agreement and for all activity under Customer's account.
3.3 Restrictions
Customer shall not:
- Sublicense, sell, or redistribute the Service
- Modify, reverse engineer, or create derivative works of the Service
- Use the Service in violation of applicable laws
- Transmit malicious code or interfere with Service integrity
- Use automated means to access the Service beyond documented APIs
- Use the Service to generate fraudulent or misleading content
4. Credits
4.1 Credits-Based Model
The Service operates on a credits-based consumption model. Credits are consumed when using AI-powered features according to the following schedule:

Credit costs are subject to change. We reserve the right to modify credit costs for features at any time.
4.2 Free Allowance
Anonymous users receive 200 free credits per session. Registered accounts receive 1,000 free credits per calendar month, which reset on the account anniversary date. Free credits do not roll over and have no cash value.
4.3 Community Credits
Users can earn additional credits through our referral program (3,000 credits per successful referral) and by providing feedback (1,000 credits per feedback submission). These community credits do not expire and are consumed after monthly free credits are exhausted.
5. Customer Data
5.1 Ownership
Customer retains all rights in Customer Data. Provider acquires no ownership interest in Customer Data.
5.2 License to Provider
Customer grants Provider a limited license to process, store, and transmit Customer Data solely to provide the Service. This includes transmitting data to AI processing providers (currently Anthropic) as necessary to generate content.
5.3 Data Protection
Provider will implement appropriate technical and organizational measures to protect Customer Data, including encryption in transit and at rest, access controls, and regular security assessments.
5.4 Data Processing
To the extent Customer Data includes personal data subject to data protection laws, Provider will process such data in accordance with Provider's Privacy Policy and applicable Data Processing Addendum upon request.
6. Generated Content
6.1 Ownership
Customer owns all Generated Content produced through Customer's use of the Service.
6.2 Disclaimer
Generated Content is produced using artificial intelligence and may contain errors, inaccuracies, or inappropriate content. Customer is solely responsible for reviewing, editing, and verifying Generated Content before use. Provider makes no representations regarding the accuracy, completeness, or fitness of Generated Content for any purpose.
7. Intellectual Property
7.1 Provider IP
Provider retains all rights in the Service, including its software, algorithms, user interface, and documentation. Nothing in this Agreement transfers ownership of Provider's intellectual property to Customer.
7.2 Feedback
If Customer provides suggestions or feedback about the Service, Provider may use such feedback without restriction or compensation.
8. Confidentiality
Each party agrees to protect the other's Confidential Information using the same degree of care used for its own confidential information, but no less than reasonable care. Confidential Information means non-public information disclosed by either party that is designated as confidential or should reasonably be understood to be confidential. Customer Data is deemed Customer's Confidential Information.
9. Warranties
9.1 Provider Warranties
Provider warrants that:
- The Service will perform substantially in accordance with Documentation
- Provider has the authority to enter into this Agreement
- Provider will not materially reduce Service functionality during the Subscription Term
9.2 Customer Warranties
Customer warrants that:
- Customer has the authority to enter into this Agreement
- Customer has all necessary rights to provide Customer Data to Provider
- Customer's use of the Service will comply with applicable laws
9.3 Disclaimer
EXCEPT AS EXPRESSLY PROVIDED, PROVIDER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PROVIDER DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
10. Limitation of Liability
10.1 Exclusion of Damages
NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.2 Liability Cap
EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE THOUSAND DOLLARS ($1,000).
10.3 Exceptions
The limitations in this Section 10 do not apply to: (a) breaches of confidentiality obligations; (b) violations of intellectual property rights; (c) indemnification obligations; or (d) Customer's payment obligations.
11. Indemnification
11.1 Provider Indemnification
Provider shall defend Customer against claims that the Service infringes a third party's intellectual property rights, and indemnify Customer for damages finally awarded, provided Customer gives prompt notice and cooperation.
11.2 Customer Indemnification
Customer shall defend Provider against claims arising from Customer Data or Customer's use of the Service in violation of this Agreement, and indemnify Provider for damages finally awarded.
12. Term and Termination
12.1 Term
This Agreement commences on the Effective Date and continues until terminated. Each Order Form specifies its own Subscription Term.
12.2 Termination for Convenience
Either party may terminate this Agreement with thirty (30) days written notice. Customer may cancel individual subscriptions at any time through account settings.
12.3 Termination for Cause
Either party may terminate immediately if the other party materially breaches and fails to cure within thirty (30) days of written notice.
12.4 Effect of Termination
Upon termination: (a) Customer's access to the Service ceases; (b) Customer may export Customer Data for thirty (30) days; (c) Provider may delete Customer Data after sixty (60) days; (d) accrued payment obligations survive.
13. General Provisions
13.1 Governing Law: This Agreement is governed by the laws of the State of California, without regard to conflict of law principles. Disputes shall be resolved exclusively in the state or federal courts of Alameda County, California.
13.2 Assignment: Neither party may assign this Agreement without the other's consent, except that Provider may assign to an affiliate or in connection with a merger or acquisition.
13.3 Notices: Notices must be in writing and sent to the addresses specified in the Order Form or to legal@autobiographer.io for Provider.
13.4 Amendment: This Agreement may be modified only by written agreement signed by both parties, or by Provider posting updated terms with thirty (30) days notice for non-material changes.
13.5 Entire Agreement: This Agreement, including all Order Forms and referenced policies, constitutes the entire agreement between the parties and supersedes all prior agreements regarding the subject matter.
13.6 Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
13.7 Force Majeure: Neither party is liable for delays caused by circumstances beyond reasonable control, including natural disasters, war, or infrastructure failures.
